You have extensive use of MS Excel for the purpose of categorizing data, creating charts & tables, creating lists, keeping notes, etc.
You have experience in corporate law, mergers and acquisitions, real estate, and financing/credit transactions. Specific corporate experience should include entity formation, dissolution, merger and state and local business registrations. M&A experience (both buy and sell?side) should include an understanding of deal structure, due diligence organization and review (including virtual data rooms), drafting ancillary closing documents and corporate resolutions and closing preparation.
Of course, you must have integrity and a strong sense of ethics.
As our corporate paralegal, a typical day might include the following:
Assist with the preparation of certificates of formation, operating agreements, and foreign qualification documentation
Prepare and file entity foreign qualifications
Assist with obtaining Tax ID Numbers (EIN) from the IRS for new entities
Assist with updating checklists for new entities
Assist with updating Tax ID list, entity organization chart and various database entries upon formation of new entities
Assist with physical and electronic filing of entity documents
Code and submit invoices for payment
Assist with processing entity dissolutions
Notarizes documents as needed
Handle other discrete tasks and participate in various projects as assigned
You need to have the following:
Associates degree, or equivalent combination of education and experience.
Bachelor’s degree is a plus.
Paralegal certificate from an ABA accredited school is a plus.
Minimum 2 years of corporate legal experience.
You will also need to:
Be able to communicate effectively with both internal and external parties with a high degree of professionalism.
Work well within a team environment.

Crescent is currently looking for an experienced corporate paralegal to join our Legal and Records
Information Management team in Fort Worth, Texas. You will report to the Manager, Corporate
Governance & Compliance and Asst. Secretary while providing legal and administrative support to the
corporate legal team with specific emphasis on corporate maintenance, con...tractual matters, real estate
closings, corporate records; and Crescent’s record repository. The perfect candidate must be a highly
organized individual who has the ability to work independently with initiative.
